Terms of Sale
1.1. Seller: Budget Parts B.V. (including the webshop), hereinafter referred to as the "Seller".
1.2. Buyer: Any natural or legal person entering into an agreement with the Seller.
1.3. Consumer: A Buyer acting for purposes outside their trade, business, or profession.
1.4. B2B Buyer: A Buyer acting in the course of a profession or business.
1.5. Purchased Goods: Items delivered or to be delivered under an agreement.
1.6. Agreement: The contract between Seller and Buyer relating to the sale and delivery of goods.
2.1. These Terms apply to all offers, quotations, and agreements.
2.2. Deviations are only valid if confirmed in writing by the Seller.
2.3. Buyer's own terms are excluded unless expressly accepted.
2.4. If any provision is invalid, the remaining provisions remain in force.
2.5. Product images are indicative and may differ slightly from delivered items.
2.6. Provisions in these Terms specifically relating to "Consumers" apply only to natural persons not acting in the exercise of a profession or business. Where these Terms refer to "Buyer," the provision applies to both Consumers and B2B Buyers.
3.1. All offers are non-binding unless stated otherwise.
3.2. A product listing on the website is an invitation to purchase. By placing an order you make a binding offer to buy. A contract is formed only when we confirm acceptance of your order by email (the order confirmation). We may decline an order, for example where an item is out of stock or a pricing error has occurred.
3.3. All prices shown on the website exclude VAT. Applicable VAT is calculated based on the delivery destination and added at checkout, along with shipping and any other charges. The total price payable, including VAT and shipping, is shown clearly before you confirm your order.
3.4. Delivery times are estimates and not guaranteed.
3.5. The Seller reserves the right to correct pricing or product errors.
3.6. The Seller is not liable for supplier availability changes.
3.7. Exchange Parts (Core Charges)
Certain products may be supplied on an exchange basis and include a deposit (core charge). This deposit will only be refunded if:
If these conditions are not met, the deposit will not be refunded.
4.1. By completing the checkout you place an order with an obligation to pay. The total amount payable, including VAT and any shipping, is shown clearly before you confirm.
4.2. Consumers must pay using the available payment methods at checkout.
4.3. The Seller may require full or partial prepayment.
4.4. B2B Payment Terms
For B2B Buyers approved for credit:
4.5. Ownership of goods remains with the Seller until full payment is received.
5.1. Delivery is made to the address or location provided by the Buyer.
5.2. For Consumers, risk transfers when goods are physically received by:
5.3. If a parcel shop, pickup point, or Access Point is selected, it is considered a designated third party.
5.4. If delivery is redirected after a failed attempt, delivery is deemed completed once the parcel is made available for collection.
5.5. The Buyer is responsible for timely collection.
5.6. If a shipment is not collected and returned:
5.7. If the carrier confirms delivery and the parcel is not returned, the Seller's delivery obligation is fulfilled.
5.8. For deliveries outside the European Union (for example the United Kingdom, Switzerland, Norway), any import duties, taxes or customs charges are the responsibility of the recipient.
6.1. Consumers have the statutory right to withdraw within 14 days without giving a reason.
6.2. The withdrawal period expires 14 days after the day the Consumer receives the goods, or the last item where an order is delivered in parts.
6.3. Goods must be returned within 14 days after notification of withdrawal.
6.4. Return shipping costs are borne by the Consumer, unless the item was damaged, defective, incorrect or supplied in error.
6.5. Refunds include standard delivery costs (not express upgrades). This delivery cost refund applies only if the Consumer withdraws from the entire order. If part of an order is returned and other items are kept, the delivery cost is not refunded, since delivery was completed for the items kept.
6.6. The Consumer is liable for any diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.
6.7. You may withdraw using our online withdrawal function on the website, by using the model withdrawal form (available on our Return, Refund & Warranty Policy page), or by any other clear statement. Use of the form is optional.
The right of withdrawal does not apply to:
8.1. The Buyer must inspect goods upon delivery.
8.2. Complaints must be reported within a reasonable time after discovery.
8.3. Consumer returns are governed by the Return & Refund Policy.
8.4. B2B Returns
B2B Buyers do not have a right of withdrawal. Returns are accepted only at the Seller's discretion.
8.5. Approved B2B returns:
8.6. We aim to acknowledge complaints within 2 business days and to give a substantive response within 14 days. If you are a Consumer and we cannot resolve your complaint, you may bring the matter before the competent Dutch court (see section 12). We are not obliged to take part in arbitration before a consumer disputes board unless required by law.
9.1. Consumers are entitled to the statutory legal guarantee under EU and Dutch law.
9.2. Goods must conform to the Agreement and perform as reasonably expected.
9.3. In case of non-conformity, the Buyer is entitled to repair, replacement, or refund.

The Seller's warranty is strictly limited to the repair, replacement, or refund of the part itself. Under no circumstances shall the Seller be liable for:
This limitation does not affect a Consumer's mandatory statutory rights.
10.1. The Seller is not liable for indirect or consequential damages, including loss of profit or business interruption.
10.2. Liability is limited to the value of the purchased goods unless otherwise required by law.
10.3. Nothing in these Terms excludes liability that cannot legally be excluded, including liability for death or personal injury caused by negligence.
The Seller is not liable for delays or failure to perform due to circumstances beyond its control, including:
12.1. These Terms are governed by Dutch law.
12.2. Consumers retain rights under the mandatory laws of their country of residence.
12.3. Disputes shall be submitted to the competent Dutch court unless mandatory law provides otherwise.
