Terms of Sale


1. Definitions

1.1. Seller: Budget Parts B.V. and Budget Parts Noord B.V. (including the webshop), hereinafter referred to as the “Seller”.
1.2. Buyer: Any natural or legal person entering into an agreement with the Seller.
1.3. Consumer: A Buyer acting for purposes outside their trade, business, or profession.
1.4. B2B Buyer: A Buyer acting in the course of a profession or business.
1.5. Purchased Goods: Items delivered or to be delivered under an agreement.
1.6. Agreement: The contract between Seller and Buyer relating to the sale and delivery of goods.


2. Applicability

2.1. These Terms apply to all offers, quotations, and agreements.
2.2. Deviations are only valid if confirmed in writing by the Seller.
2.3. Buyer’s own terms are excluded unless expressly accepted.
2.4. If any provision is invalid, the remaining provisions remain in force.
2.5. Product images are indicative and may differ slightly from delivered items.
2.6. Provisions in these Terms specifically relating to “Consumers” apply only to natural persons not acting in the exercise of a profession or business. Where these Terms refer to “Buyer,” the provision applies to both Consumers and B2B Buyers.


3. Offers, Pricing and Exchange Parts

3.1. All offers are non-binding unless stated otherwise.
3.2. Prices exclude VAT, shipping, and additional charges unless stated.
3.3. Delivery times are estimates and not guaranteed.
3.4. The Seller reserves the right to correct pricing or product errors.
3.5. The Seller is not liable for supplier availability changes.

3.6. Exchange Parts (Core Charges)
Certain products may be supplied on an exchange basis and include a deposit (core charge).
This deposit will only be refunded if:

  • the old unit is returned within 14 days
  • it is of the same type
  • it is complete and suitable for refurbishment
  • it is not disassembled or externally damaged

If these conditions are not met, the deposit will not be refunded.


4. Payment

4.1. Consumers must pay using the available payment methods at checkout.
4.2. The Seller may require full or partial prepayment.

4.3. B2B Payment Terms
For B2B Buyers approved for credit:

  • payment is due within 30 days of invoice date
  • late payments incur 1% interest per month
  • all collection costs are borne by the Buyer

4.4. Ownership of goods remains with the Seller until full payment is received.


5. Delivery and Risk

5.1. Delivery is made to the address or location provided by the Buyer.

5.2. For Consumers, risk transfers when goods are physically received by:

  • the Consumer, or
  • a third party designated by the Consumer

5.3. If a parcel shop, pickup point, or Access Point is selected, it is considered a designated third party.

5.4. If delivery is redirected after a failed attempt, delivery is deemed completed once the parcel is made available for collection.

5.5. The Buyer is responsible for timely collection.

5.6. If a shipment is not collected and returned:

  • return shipping costs may be deducted
  • original shipping costs are non-refundable

5.7. If the carrier confirms delivery and the parcel is not returned, the Seller’s delivery obligation is fulfilled.


6. Right of Withdrawal (Consumers Only)

6.1. Consumers have the right to withdraw within 14 days without giving a reason.
6.2. The withdrawal period expires 14 days after receipt of goods.
6.3. Goods must be returned within 14 days after notification.
6.4. Return shipping costs are borne by the Consumer.
6.5. Refunds include standard delivery costs (not express upgrades).
6.6. The Consumer is liable for diminished value caused by excessive handling.


7. Exceptions to Withdrawal

The right of withdrawal does not apply to:

  • custom-made or personalised goods
  • sealed hygiene goods once opened
  • goods inseparably mixed with others
  • sealed software/audio once opened
  • perishable goods

8. Returns and Complaints

8.1. The Buyer must inspect goods upon delivery.
8.2. Complaints must be reported within a reasonable time after discovery.

8.3. Consumer returns are governed by the Return & Refund Policy.

8.4. B2B Returns
B2B Buyers do not have a right of withdrawal.
Returns are accepted only at the Seller’s discretion.

8.5. Approved B2B returns:

  • must be requested within 14 days of invoice date
  • are subject to a 15% restocking fee (minimum €25)
  • must be unused and in original condition

9. Warranty

9.1. Consumers are entitled to the statutory legal guarantee under EU and Dutch law.

9.2. Goods must conform to the Agreement and perform as reasonably expected.

9.3. In case of non-conformity, the Buyer is entitled to repair, replacement, or refund.

9.4. Warranty does not apply to:

  • improper installation or use
  • modifications or third-party repairs
  • normal wear and tear

9.5. Limitation of Warranty Scope
The Seller’s warranty is strictly limited to the repair, replacement, or refund of the part itself.

Under no circumstances shall the Seller be liable for:

  • labour costs
  • installation or removal costs
  • towing costs
  • loss of use or replacement vehicles

10. Liability

10.1. The Seller is not liable for indirect or consequential damages, including loss of profit or business interruption.
10.2. Liability is limited to the value of the purchased goods unless otherwise required by law.
10.3. Nothing in these Terms excludes liability that cannot legally be excluded.


11. Force Majeure

The Seller is not liable for delays or failure to perform due to circumstances beyond its control, including:

  • weather conditions
  • transport disruptions
  • supplier failures
  • strikes or customs delays

12. Applicable Law

12.1. These Terms are governed by Dutch law.
12.2. Consumers retain rights under mandatory laws of their country of residence.
12.3. Disputes shall be submitted to the competent Dutch court unless mandatory law provides otherwise.
